1. Introduction and acceptance
These Terms and Conditions form a legally binding agreement between you and Verdant Volunteers. Verdant Volunteers may be referred to in these Terms as Verdant, we, our, or us. You may be referred to as user, you, or your.
By accessing, browsing, registering, applying for a volunteer placement, creating a host profile, listing a placement, communicating with another user, making or receiving a payment, or otherwise using any Verdant service, you agree to these Terms.
If you do not agree with these Terms, you must not use the platform. You also agree to our Privacy Policy, Cookie Policy, community rules, safety rules, host guidelines, volunteer guidelines, refund policies, safeguarding policies, and any additional terms displayed on the platform for a specific service, placement, feature, or program. Those documents are incorporated into these Terms by reference.
We may update these Terms from time to time to reflect changes in law, safety requirements, platform operations, technology, fees, dispute procedures, or available services. We will post the updated version with a revised date. Where required by law, we may provide additional notice. Continued use of the platform after the updated Terms become effective means you accept the updated Terms.
Nothing in these Terms is intended to limit, waive, or exclude any legal right that cannot lawfully be limited, waived, or excluded under the laws that apply to you.
2. Definitions
Account means a registered profile used to access Verdant Volunteers services.
Community project means any initiative, activity, event, program, organization, group, or local effort for which a Host invites volunteers through the platform.
Content means all text, images, videos, audio, data, listings, comments, applications, reviews, messages, updates, documents, and other materials uploaded, submitted, generated, displayed, or transmitted through the platform.
Host means any person, community, organization, company, nonprofit, school, group, project owner, representative, or other party that creates, manages, promotes, or accepts volunteers for a Placement.
Placement means a volunteer opportunity, project, activity, event, program, role, assignment, campaign, or related opportunity listed, promoted, applied for, or arranged through Verdant.
Platform means Verdant Volunteers websites, mobile applications, web applications, dashboards, APIs, communication tools, help center, verification systems, payment flows, community spaces, artificial intelligence features, and related services.
Services means all features, tools, products, programs, systems, and support services provided by Verdant, including volunteer discovery, volunteer applications, matching tools, messaging, verification, trust and safety systems, help center, community forums, reviews, analytics, payment processing support, and related services.
Volunteer means any person who registers, browses, applies for, communicates about, attends, participates in, or intends to participate in a Placement.
User means any person or entity using the platform, including Volunteers, Hosts, applicants, visitors, organization representatives, donors, reviewers, or account holders.
3. Eligibility and account rules
To create an account or use features requiring registration, you must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher, and you must have legal capacity to enter into a binding agreement. Some Placements, regions, activities, Hosts, or partner programs may require a higher age, additional checks, parental or guardian consent where lawful, or proof of eligibility.
You agree to provide accurate, current, and complete information when creating an account, applying for a Placement, listing a Placement, completing verification, making a payment, or communicating with Verdant or another user. You must keep your account details updated.
You are responsible for all activity on your account and for maintaining the security of your login credentials. You must notify Verdant promptly if you suspect unauthorized access, misuse, or a security issue involving your account.
You may not create multiple accounts to mislead others, avoid enforcement, bypass verification, manipulate platform features, obtain improper benefits, hide prior activity, or abuse trust and safety systems.
We may require identity verification, organization verification, proof of authority, proof of address, background information, safeguarding documents, compliance declarations, or additional documentation before allowing certain actions. These may include hosting volunteers, applying for sensitive Placements, participating in programs involving children or vulnerable persons, accessing payment features, using advanced platform features, or receiving visibility in search results.
We may refuse, restrict, suspend, or terminate an account where we believe the user is ineligible, has provided inaccurate information, poses a safety or compliance risk, or has violated these Terms.
4. Platform purpose and Verdant's role
Verdant provides a technology platform that helps Hosts and Volunteers discover, communicate about, and coordinate volunteer opportunities. Hosts may publish Placements, and Volunteers may browse, apply, communicate, and make participation decisions.
Verdant is a platform provider and intermediary. Unless we expressly state in writing that a specific program is directly operated by Verdant, we do not employ Volunteers, do not employ Hosts, do not act as an employer, recruitment agency, travel agency, immigration adviser, insurance provider, medical provider, security provider, school, charity operator, fiduciary, trustee, representative, partner, joint venturer, or agent of any Host or Volunteer.
Verdant does not control the day to day conduct of Hosts or Volunteers. Verdant does not supervise Placements in real time. Verdant does not guarantee that any Host, Volunteer, Placement, accommodation, travel plan, facility, community project, or local condition will be safe, lawful, suitable, accurate, available, or consistent with expectations.
Hosts are responsible for the Placements they create, the statements they make, the conditions they provide, the people they involve, and their compliance with applicable laws. Volunteers are responsible for deciding whether a Placement is appropriate for them and for making their own travel, health, legal, safety, insurance, and participation decisions.
We may provide verification tools, review systems, AI tools, safety checks, support channels, guidance, ranking systems, and trust indicators. These tools are intended to improve platform quality. They do not create a guarantee, warranty, duty of care, employment relationship, agency relationship, fiduciary relationship, or assumption of responsibility for the actions or omissions of Hosts, Volunteers, third parties, or local authorities.
5. Volunteer participation, personal responsibility, and assumption of risk
Volunteering may involve risks. These risks may include travel disruption, illness, injury, property loss, theft, unsafe local conditions, cultural differences, political instability, weather events, natural disasters, transportation risks, accommodation issues, conflict with other people, emotional distress, physical activity, health exposure, language barriers, technology failure, financial loss, and other risks that may not be foreseeable.
By applying for, accepting, attending, or participating in a Placement, you acknowledge that you are voluntarily choosing to participate and that you are responsible for evaluating the risks involved. You agree to use your own judgment, conduct reasonable research, ask appropriate questions, review available information, consider official travel and health guidance, and seek independent advice where needed.
To the maximum extent permitted by law, you accept responsibility for your own participation decisions and agree that Verdant is not responsible for injuries, illness, death, emotional harm, travel disruption, immigration issues, property loss, financial loss, or other damage arising from or connected with a Placement, except where the law does not permit such responsibility to be excluded.
You must not participate in any activity that you reasonably believe is unsafe, unlawful, exploitative, discriminatory, abusive, outside the description of the Placement, or beyond your abilities. If you feel unsafe, you should remove yourself from the situation where possible, contact local emergency services if needed, notify the Host where appropriate, and report the issue to Verdant through the available support channels.
Verdant may provide safety resources and reporting channels, but Verdant does not replace local emergency services, law enforcement, medical providers, embassies, consulates, insurance providers, or professional advisers.
6. No employment, wages, or labor relationship
Placements listed on Verdant are intended to be volunteer opportunities unless clearly stated otherwise. Applying for or participating in a Placement does not make you an employee, worker, contractor, agent, representative, partner, or legal beneficiary of Verdant.
Hosts must not use Verdant to disguise paid labor, avoid employment obligations, misclassify workers, replace paid employees unlawfully, evade wage laws, avoid social security or tax obligations, or exploit Volunteers under the appearance of volunteering.
Hosts are solely responsible for determining whether a Placement is legally permitted as volunteering in the relevant jurisdiction. This includes compliance with labor laws, working time rules, minimum wage laws, occupational safety rules, immigration laws, tax laws, nonprofit laws, education rules, and any other applicable requirements.
If a Host offers stipends, allowances, meals, accommodation, reimbursements, gifts, transport support, certificates, benefits, or other support, the Host is responsible for ensuring that such support is lawful, accurately described, and properly administered.
Verdant does not guarantee that a Placement will qualify as volunteering under any specific law. Users should seek independent legal or professional advice if the distinction between volunteering, employment, internship, training, work experience, or contracting is uncertain.
7. Host duties and placement standards
When you create, manage, or promote a Placement as a Host, you certify that all information you provide is truthful, complete, current, and not misleading. You must clearly describe the purpose of the Placement, expected activities, hours, schedule, location, required skills, eligibility requirements, living conditions, accommodation arrangements, meals, travel expectations, physical demands, supervision, language requirements, safety considerations, fees, deposits, cost sharing, cancellation rules, and any known risks.
You must have legal authority to list the Placement and to act on behalf of any organization, community, school, business, project, or group represented in the listing. You must provide proof of that authority if Verdant requests it.
You agree to treat Volunteers with dignity and respect. You must provide a safe, lawful, respectful, and non-discriminatory environment. You must not harass, abuse, exploit, threaten, coerce, humiliate, endanger, or discriminate against Volunteers or community members.
You are responsible for complying with all laws that apply to you, your organization, your location, your facilities, your staff, your partners, your activities, and your Placements. These may include laws on labor, immigration, visas, health and safety, child protection, education, healthcare, insurance, tax, nonprofit operations, anti-discrimination, anti-harassment, data protection, consumer protection, fundraising, sanctions, anti-bribery, anti-corruption, and local licensing.
You must not request or accept work from Volunteers that is materially different from the Placement description unless the Volunteer freely agrees and the change is lawful, safe, and reasonable.
You must maintain appropriate records, policies, insurance, supervision, training, emergency procedures, and safeguarding measures for your Placement where required by law or by the nature of the activity.
Verdant may review, feature, limit, edit, pause, remove, reject, or downgrade Placements at any time to protect users, comply with law, improve platform quality, or preserve trust.
8. Child protection, safeguarding, and vulnerable persons
Verdant has zero tolerance for abuse, exploitation, trafficking, harassment, grooming, forced labor, unsafe contact, or harmful conduct involving children, young people, elderly persons, persons with disabilities, displaced persons, refugees, survivors of abuse, patients, low income communities, or any other vulnerable persons.
Hosts offering Placements involving children, schools, childcare, healthcare, shelters, orphanages, religious institutions, disability support, elder care, crisis response, refugee support, mental health settings, or vulnerable communities must comply with all applicable safeguarding laws and professional standards. This may include background checks, police clearance, child protection policies, training, supervision, reporting obligations, consent requirements, safe recruitment practices, and restrictions on unsupervised contact.
Hosts must not allow Volunteers to participate in sensitive work unless the Volunteer is legally permitted, appropriately screened, properly supervised, and suitable for the role. Hosts must not create Placements that expose vulnerable persons to unnecessary risk for the purpose of tourism, marketing, fundraising, content creation, or emotional appeal.
Volunteers must follow all safeguarding rules provided by the Host, Verdant, or applicable law. Volunteers must not seek private unsupervised access to children or vulnerable persons where such access is not authorized and lawful. Volunteers must not request or share inappropriate images, personal data, contact information, or private communications involving children or vulnerable persons.
Verdant may immediately remove content, suspend accounts, restrict access, report concerns to authorities, preserve evidence, or take other action where we believe safeguarding concerns exist.
9. Travel, visas, permits, health, and local law
Volunteers are solely responsible for obtaining and maintaining all passports, visas, permits, vaccinations, medical clearances, travel documents, insurance, parental or family permissions where applicable, and other approvals required for travel or participation.
Hosts are responsible for accurately describing any known visa, permit, registration, health, safety, or local participation requirements connected with their Placement. Host guidance does not replace official advice from governments, embassies, consulates, medical professionals, insurers, or qualified legal advisers.
Verdant does not provide immigration, legal, tax, medical, security, or travel advice. Any information on the platform is provided for general informational purposes and may be incomplete, outdated, or not applicable to your situation.
Users must comply with all laws and rules in the countries and communities where they live, travel, volunteer, host, or operate. If a Placement or activity becomes unlawful, unsafe, restricted, prohibited, or inconsistent with official guidance, users must not proceed.
Verdant is not responsible for denied entry, visa refusal, deportation, detention, fines, quarantine, border restrictions, flight disruption, medical requirements, vaccination requirements, travel bans, or other government action.
10. Insurance
Volunteers are responsible for obtaining adequate insurance for their participation. Depending on the Placement, this may include travel insurance, medical insurance, emergency evacuation coverage, personal liability coverage, accident coverage, property coverage, or other protection suitable for the country, activity, and duration of participation.
Hosts are responsible for maintaining insurance required by law or appropriate for their activities. This may include public liability insurance, employer liability insurance, volunteer insurance, professional liability insurance, motor insurance, property insurance, event insurance, or other coverage relevant to the Placement.
Verdant does not provide insurance unless expressly stated in writing for a specific program. Any insurance information displayed on the platform is general information only. Users are responsible for reviewing policy terms, exclusions, limits, and suitability before relying on coverage.
11. Bookings, fees, payments, deposits, and cancellations
Some Placements or services may involve fees, deposits, cost sharing, accommodation contributions, administrative charges, verification fees, platform fees, payment processing fees, currency conversion fees, tax charges, or other costs. Where applicable, these charges will be disclosed before payment is completed.
Unless clearly stated otherwise, payments connected with Placements are not donations. They may relate to accommodation, meals, administration, coordination, verification, platform access, third party processing, or participation costs.
Payment processing may be provided by third party payment processors. By making or receiving a payment, you authorize Verdant and its payment partners to process the transaction, share required payment information, complete compliance checks, reverse payments where appropriate, and take steps required by law or payment network rules.
Hosts must clearly disclose any fees, deposits, cancellation rules, refund conditions, required purchases, local costs, or expected contributions before a Volunteer commits to a Placement.
Unless a specific program, Placement, or applicable law provides otherwise, payments may be non-refundable after confirmation, processing, or the start of a service. Verdant may facilitate or issue refunds at its discretion, where required by law, where user protection policies apply, where fraud or misrepresentation is suspected, where a Placement materially violates these Terms, or where a Host fails to provide a materially described service.
Verdant may hold, delay, reverse, refund, freeze, or restrict payments where we believe there is fraud, chargeback risk, safety risk, legal risk, identity concern, sanctions concern, dispute, policy violation, or regulatory obligation.
Users are responsible for any taxes, reporting obligations, bank fees, currency fluctuations, chargebacks, payment disputes, or local payment requirements connected with their use of the platform.
12. Off-platform dealings and communications
Verdant strongly encourages users to keep important communications, applications, confirmations, payment discussions, safety disclosures, and changes to Placement terms on the platform where available.
You must not use the platform to solicit, pressure, or mislead users into off-platform payments, secret agreements, fee avoidance, unsafe arrangements, or communications designed to evade Verdant's safety, payment, compliance, or review systems.
Verdant is not responsible for payments, promises, arrangements, meetings, travel plans, services, or disputes made outside the platform, except where the law requires otherwise.
If you choose to communicate or transact outside the platform, you do so at your own risk. Verdant may have limited ability to assist with evidence, refunds, disputes, safety review, or enforcement when activity occurs outside the platform.
13. Community rules and prohibited conduct
You may not use Verdant for unlawful, deceptive, unsafe, abusive, exploitative, discriminatory, or harmful activity. Prohibited conduct includes:
- Misrepresenting your identity, age, qualifications, organization, authority, location, experience, relationship to a community, or Placement conditions.
- Listing false, misleading, unsafe, exploitative, discriminatory, or unlawful Placements.
- Disguising paid work as unpaid volunteering in violation of labor laws.
- Requesting illegal work, unsafe work, unpaid commercial labor where unlawful, or activities beyond what was clearly disclosed.
- Harassing, threatening, humiliating, stalking, exploiting, coercing, abusing, or discriminating against another person.
- Endangering children, young people, vulnerable persons, Volunteers, Hosts, staff, communities, or the public.
- Engaging in trafficking, forced labor, sexual exploitation, grooming, child exploitation, or any related activity.
- Organizing, supporting, promoting, or recruiting for violence, hate groups, terrorism, criminal conduct, or unlawful extremist activity.
- Using the platform to sell, promote, or distribute regulated goods or services in violation of law.
- Posting malware, phishing links, spam, scams, fraudulent offers, fake documents, or harmful code.
- Harvesting data, scraping the platform without permission, interfering with platform security, bypassing access controls, or attempting unauthorized access.
- Laundering money, evading sanctions, financing illegal activity, bribing officials, or engaging in corruption.
- Posting content that infringes intellectual property, privacy, publicity, confidentiality, or other rights.
- Manipulating reviews, ratings, applications, referrals, fees, search ranking, trust indicators, or verification processes.
- Retaliating against users who report concerns or cooperate with safety investigations.
This list is not exhaustive. Verdant may take action against any conduct that we reasonably believe threatens safety, trust, legal compliance, platform integrity, or user wellbeing.
14. Verification, trust safeguards, and compliance reviews
Verdant may use identity verification, document checks, device signals, location signals, fraud detection, payment screening, sanctions screening, AI tools, manual review, user reports, third party data providers, and other safeguards to protect users and the platform.
We may require additional information from any user at any time. This may include identity documents, organization registration, proof of address, proof of authority, safeguarding policies, insurance evidence, references, tax information, payment information, background information, or explanations about platform activity.
Verdant may pause applications, limit listing visibility, restrict messaging, delay payments, suspend accounts, remove content, require edits, cancel participation, or block features while a review is pending.
Failure to cooperate with a compliance request may result in account restriction, payment restriction, removal of Placements, denial of applications, or termination.
Verification does not mean Verdant guarantees the safety, legality, honesty, suitability, or future behavior of a user, Host, Volunteer, Placement, document, organization, or third party.
15. Reviews, ratings, testimonials, and public feedback
Verdant may allow users to submit reviews, ratings, comments, testimonials, success stories, or other feedback. Reviews and ratings reflect the views of the user who submitted them and do not necessarily reflect Verdant's views.
You must submit honest feedback based on your own genuine experience. You must not submit fake reviews, paid reviews without proper disclosure, manipulated reviews, reviews on behalf of another person, reviews intended to threaten or extort, or reviews that contain false, defamatory, discriminatory, private, or unlawful content.
Verdant may moderate, remove, reject, label, investigate, or limit reviews that we believe violate these Terms, platform rules, applicable law, or review integrity standards.
Verdant does not guarantee the accuracy, completeness, fairness, or usefulness of any review, rating, testimonial, recommendation, ranking, badge, trust indicator, or community feedback. Users should rely on their own judgment and due diligence.
16. User content and intellectual property
You retain ownership of Content you submit, post, upload, or share on the platform, subject to the rights granted in these Terms.
By submitting Content to Verdant, you grant Verdant a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, translate, adapt, distribute, promote, analyze, moderate, and otherwise use the Content for operating, protecting, marketing, improving, and providing the platform and services.
This license allows Verdant to display your listings, profile information, reviews, images, videos, updates, and related materials on the platform, in search results, in promotional materials, in emails, in social previews, and through partner or integration channels where relevant to platform operations.
You represent that you own or have all rights, permissions, licenses, and consents needed to submit the Content and grant the license above. You must not submit Content that infringes intellectual property, confidentiality, privacy, publicity, moral rights, data protection rights, contract rights, or other rights of any person or entity.
Verdant and its trademarks, trade names, logos, domain names, software, designs, interfaces, databases, text, graphics, and platform elements are owned by Verdant or its licensors. You may not copy, modify, distribute, reverse engineer, sell, exploit, or use Verdant intellectual property without written permission, except as expressly allowed by the platform.
17. Privacy, data protection, and communications
Verdant processes personal information as described in our Privacy Policy. By using the platform, you acknowledge that Verdant may collect, use, store, share, transfer, and protect personal information for purposes including account creation, volunteer applications, host operations, verification, fraud prevention, payments, safety, compliance, support, analytics, service improvement, legal obligations, and communication.
Where applicable data protection laws apply, Verdant will process personal information according to those laws, including principles of transparency, lawful basis, data minimization, security, retention control, and user rights.
You must not collect, misuse, disclose, sell, or process personal information about other users except as necessary for lawful platform-related purposes and in compliance with applicable law.
Hosts who receive personal information about Volunteers are responsible for protecting it and using it only for legitimate Placement-related purposes. Hosts must not add Volunteers to unrelated marketing lists, share their data with unauthorized parties, or retain data longer than necessary.
Users may receive service emails, safety notices, legal notices, application updates, verification requests, support responses, payment updates, and other transactional communications. Marketing communications will be handled according to applicable law and available preferences.
18. Artificial intelligence and automated tools
Verdant may provide artificial intelligence features, automated assistance, recommendations, summaries, matching support, content suggestions, moderation assistance, fraud detection, safety screening, or workflow tools.
AI and automated tools may produce incomplete, inaccurate, outdated, or unsuitable outputs. You are responsible for reviewing information before relying on it. AI outputs do not constitute legal, medical, immigration, financial, safety, or professional advice.
Verdant may review, store, analyze, or use interactions with AI tools as described in our Privacy Policy and applicable platform notices. We may limit or disable AI features at any time.
Users must not use AI tools to deceive others, create fake identities, generate fraudulent documents, produce misleading Placement information, impersonate another person, or bypass platform rules.
19. Third party services and links
Verdant may integrate with or link to third party services, including payment processors, identity verification providers, analytics tools, mapping services, messaging services, social platforms, hosting providers, email tools, translation services, background check providers, travel resources, and partner websites.
Third party services are governed by their own terms, privacy notices, policies, fees, and practices. Verdant is not responsible for third party services, outages, delays, errors, security incidents, fees, decisions, content, or actions.
Use of third party services is at your own risk, except where applicable law provides otherwise.
20. Platform availability and changes
Verdant may change, suspend, discontinue, restrict, or modify any part of the platform or services at any time. This may include features, fees, eligibility rules, trust indicators, verification requirements, ranking systems, payment options, placement categories, support channels, or access levels.
We do not guarantee that the platform will always be available, uninterrupted, secure, error-free, or compatible with every device, browser, network, region, or third party service.
We may perform maintenance, upgrades, security changes, or emergency actions without prior notice where needed.
21. Suspension, restriction, and termination
Verdant may suspend, restrict, limit, or terminate your account, Placement, content, access, payments, visibility, applications, or use of the platform where we believe you have violated these Terms, broken the law, created risk, harmed another user, misused the platform, failed verification, engaged in suspicious activity, or threatened platform integrity.
We may also take action based on user reports, third party reports, law enforcement requests, regulatory requirements, payment provider requirements, sanctions checks, fraud signals, safety concerns, or reputational risk.
You may request account closure at any time. Account closure does not automatically delete information Verdant must retain for legal, safety, fraud prevention, accounting, tax, dispute resolution, regulatory, or legitimate business purposes.
Termination does not affect rights, obligations, payment responsibilities, dispute provisions, liability limitations, indemnity obligations, intellectual property rights, or other provisions that by their nature should continue.
22. Reporting, investigations, and emergency situations
Users should report suspected fraud, unsafe conditions, abuse, harassment, safeguarding concerns, misleading Placements, payment issues, or violations of these Terms through Verdant's support or reporting channels.
Verdant may investigate reports, but we are not required to investigate every report in the same way or to disclose investigation details. We may use our discretion to determine appropriate action.
In emergencies, users should contact local emergency services first. Verdant is not an emergency response provider and cannot guarantee immediate assistance.
Verdant may report suspected illegal activity, safeguarding concerns, threats, fraud, or serious safety issues to law enforcement, regulators, payment providers, child protection authorities, or other appropriate bodies where we believe disclosure is necessary or legally required.
23. Disclaimers
The platform and services are provided on an as is and as available basis. To the maximum extent permitted by law, Verdant disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, safety, quality, and reliability.
Verdant does not warrant or guarantee that:
- A user is who they claim to be.
- A Host, Volunteer, Placement, organization, review, document, or statement is accurate, lawful, safe, or suitable.
- A Volunteer will be accepted into a Placement.
- A Host will receive suitable Volunteers.
- A Placement will occur as planned.
- A Placement will meet expectations.
- A Host or Volunteer will comply with law or platform rules.
- Payments, communications, travel plans, insurance, accommodation, visas, or third party services will be completed without issue.
- The platform will be uninterrupted, error-free, secure, or free of harmful components.
Nothing in these Terms excludes warranties, remedies, or rights that cannot be excluded under applicable law.
24. Limitation of liability
To the maximum extent permitted by law, Verdant and its affiliates, officers, directors, employees, contractors, agents, partners, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, opportunity, reputation, emotional distress, travel costs, accommodation costs, replacement services, or other intangible losses arising from or related to your use of the platform or participation in a Placement.
To the maximum extent permitted by law, Verdant is not liable for the acts, omissions, statements, services, facilities, conditions, negligence, misconduct, criminal conduct, or failures of Hosts, Volunteers, users, third parties, payment providers, transport providers, accommodation providers, local authorities, community partners, or other persons.
To the maximum extent permitted by law, Verdant's total liability for any claim arising from or related to the platform, services, these Terms, or any Placement will not exceed the greater of:
- The total amount of platform fees paid by you to Verdant in the twelve months before the claim arose, excluding amounts paid to Hosts, third party providers, payment processors, taxes, donations, pass-through costs, or external service charges; or
- One hundred United States dollars.
Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, Verdant's liability is limited only to the fullest extent permitted by law.
25. Indemnity
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Verdant and its affiliates, officers, directors, employees, contractors, agents, partners, licensors, and service providers from and against any claims, demands, damages, losses, liabilities, fines, penalties, costs, and expenses, including reasonable legal fees, arising from or related to:
- Your use of the platform.
- Your Content.
- Your Placement or participation in a Placement.
- Your conduct toward another user or third party.
- Your violation of these Terms.
- Your violation of law.
- Your misrepresentation, fraud, negligence, or misconduct.
- Your breach of privacy, intellectual property, safeguarding, employment, immigration, tax, payment, or consumer protection obligations.
Verdant may control the defense of any claim subject to indemnification. You agree to cooperate with Verdant in defending such claims.
26. Consumer rights and jurisdiction-specific protections
Some users may have mandatory rights under consumer protection, contract, platform, digital services, employment, privacy, payment, travel, or local laws. Nothing in these Terms is intended to remove rights that cannot be removed by contract.
If any provision of these Terms is found to be invalid, unfair, unlawful, or unenforceable in a specific jurisdiction, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue to apply where legally permitted.
For users in jurisdictions with strict consumer protection rules, including the European Union, United Kingdom, Switzerland, Australia, New Zealand, Canada, and other regions with mandatory protections, these Terms apply only to the extent permitted by those laws. You may have the right to bring claims in your local courts or to rely on mandatory local protections regardless of the governing law clause below.
27. Dispute resolution, arbitration, and governing law
Before filing a claim, you agree to contact Verdant and attempt to resolve the dispute informally. We will also attempt to resolve disputes in good faith where appropriate.
For users outside the European Union, United Kingdom, Switzerland, and any jurisdiction where mandatory law requires otherwise, these Terms are governed by the laws of the State of California, United States, excluding conflict of law rules.
For users outside jurisdictions where mandatory law prohibits the following requirement, you and Verdant agree that disputes arising from or related to these Terms, the platform, or services will be resolved through binding arbitration on an individual basis. Arbitration will be conducted in English. You and Verdant waive the right to a jury trial and waive the right to participate in a class action, collective action, private attorney general action, or representative proceeding, except where such waiver is prohibited by law.
If arbitration is not enforceable for a specific claim or user, the claim may be brought in a court of competent jurisdiction as permitted by applicable law.
For users in the European Union, United Kingdom, or Switzerland, these Terms do not remove mandatory local consumer protections, local court rights, or dispute resolution rights that cannot be removed by contract.
Verdant may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, platform security, users, or the platform from harm.
28. Sanctions, anti-bribery, anti-corruption, and export compliance
You may not use Verdant if you are located in, organized under the laws of, ordinarily resident in, or acting on behalf of a person or entity subject to sanctions or restrictions that prohibit Verdant from providing services to you.
You must not use the platform to violate sanctions, export controls, anti-money laundering laws, anti-bribery laws, anti-corruption laws, anti-terrorism financing laws, or other financial crime laws.
You must not offer, request, pay, receive, or facilitate bribes, kickbacks, unlawful gifts, improper benefits, or corrupt payments through or in connection with the platform.
Verdant may block, freeze, cancel, report, or restrict activity where we believe compliance risk exists.
29. Taxes and legal compliance
Users are responsible for determining and satisfying their own tax, reporting, registration, licensing, immigration, employment, consumer protection, nonprofit, fundraising, accounting, and legal obligations connected with their use of the platform.
Verdant may provide receipts, transaction records, or tax-related information where required by law or platform operations, but Verdant does not provide tax, legal, accounting, immigration, travel, medical, insurance, or professional advice.
30. Miscellaneous terms
Entire agreement. These Terms, the Privacy Policy, and all referenced policies form the entire agreement between you and Verdant regarding the platform and services.
Severability. If any provision is found invalid, unlawful, or unenforceable, the remaining provisions remain in effect.
No waiver. Failure to enforce a provision is not a waiver of our right to enforce that provision later.
Assignment. You may not assign or transfer your rights or obligations under these Terms without Verdant's written consent. Verdant may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, change of control, or operation of law.
Force majeure. Verdant is not responsible for delays, failures, losses, or interruptions caused by events beyond reasonable control, including natural disasters, war, civil unrest, strikes, epidemics, pandemics, government action, legal restrictions, payment network issues, cyberattacks, infrastructure failures, internet outages, third party service failures, or large scale technical disruptions.
Notices. Verdant may provide notices through the platform, email, account notifications, website postings, or other reasonable means. You are responsible for keeping your contact information current.
Headings. Section headings are for convenience only and do not affect interpretation.
Language. These Terms may be translated for convenience. If there is a conflict between the English version and a translation, the English version controls to the extent permitted by law.
